Jio Platforms: what the DRHP said and what happened at listing
A plain-language review built from the 528-page DRHP and public news: issue terms, financials, owners, legal matters and valuation, with the working shown.
This issue has already closed and listed. Sources reviewed in this report describe the final terms: ₹30,213 crore fresh issue at ₹1,119 per share (upper end of a ₹1,065 to ₹1,119 band), subscribed 22.19 times, listed at ₹1,358 on NSE. The DRHP itself left price, size in rupees and dates blank, so those figures come from news and exchange coverage, not from the DRHP. The RHP and final prospectus were not reviewed.

Section 2Business in plain words
Jio Platforms is the holding company for Reliance Jio Infocomm (RJIL), India's largest mobile operator by data traffic, plus fixed broadband (JioFiber, JioAirFiber), digital apps and AI and cloud efforts. Almost all revenue and profit comes from RJIL's telecom licence. The DRHP says Jio carried about 60% of India's wireless data traffic in FY26, citing a report the company commissioned and paid for (Analysys Mason).
| Operating metric (RJIL) | FY24 | FY25 | FY26 |
|---|---|---|---|
| Customers (millions) | 481.8 | 488.2 | 524.4 |
| ARPU, exit quarter (₹/month) | 181.7 | 206.2 | 214.0 |
| Data per customer (GB/month) | 28.7 | 33.6 | 42.3 |
| Monthly churn, exit quarter | 1.52% | 1.81% | 1.67% |
ARPU (average revenue per user) is monthly revenue per customer. Bharti Airtel reported mobile ARPU of ₹257.2 for the same quarter. Source: DRHP "Basis for Issue Price", KPI and peer tables.
Section 3Industry and competition
The DRHP names Bharti Airtel and Vodafone Idea as listed peers and lists satellite broadband (Starlink, Eutelsat OneWeb) as a possible future competitor. It also says tariff increases may meet customer resistance, regulatory limits or competitive response. After the July 2024 industry tariff rise, the DRHP notes higher ARPU but also higher churn and slower subscriber growth in that year (Mint, 19 June 2026).
The industry report cited in the DRHP (Analysys Mason) was commissioned and paid for by the company (DRHP p.52).
Section 4Objects of the issue
- Up to ₹27,500 crore to prepay borrowings of RJIL, including external commercial borrowing term loans from a bank syndicate (DRHP p.108). That is about 91% of the ₹30,213 crore raised (calculated here).
- General corporate purposes capped at 25% of gross proceeds.
- No money goes to selling shareholders because there is no offer for sale. Meta, Google and other 2020 investors did not sell in the IPO.
DRHP p.106 to 108. The plan has not been appraised by any bank or agency, per the DRHP.
Section 5Financials

| EBITDA less cash capex | 1,449 | 19,902 | 42,071 |
- Two-year growth (FY24 to FY26, CAGR, calculated here): revenue about 15.8%, EBITDA about 17.8%, profit about 18.4%.
- Return on average capital employed fell from 12.8% to 10.8% over the same period, below Airtel's 19.0% on its own definition (DRHP table; definitions differ).
- Finance costs rose 76% in FY26 while other income rose to ₹2,874 crore from ₹1,115 crore. The reasons are not stated in the pages reviewed.
- Cash tax is small: current tax ₹118 crore against deferred tax ₹10,182 crore in FY26. Deferred tax liability stands at ₹41,210 crore.
- Return on equity, calculated here from DRHP figures: about 9.4% for FY26 on average net worth of roughly ₹3.2 lakh crore.
Section 6Balance-sheet quality
| 31 March 2026, ₹ crore | Amount |
|---|---|
| Bank and other borrowings (current + non-current) | 70,781 |
| Cash and current investments | 43,202 |
| Net debt as the company defines it | 27,579 |
| Net leverage reported (net debt ÷ EBITDA) | 0.36x |
| Deferred payment liabilities (mostly spectrum), not in net debt | 1,04,514 |
| Lease liabilities, not in net debt | 13,888 |
| Net debt including both, calculated here | 1,45,981 |
| Same, ÷ FY26 EBITDA (calculated here) | 1.91x |
| Contingent liabilities not provided for | 1,502 |
The 0.36x figure excludes spectrum instalments and leases. Including them gives roughly 1.9x on the same EBITDA. This is calculated here from DRHP balance-sheet lines and is not a company-reported number. Airtel's 1.36x is as reported by Airtel; the DRHP notes that peers' metrics may not use the same definitions (p.122).
- Employees fell from 35,495 to 27,935 between FY24 and FY26 (about 21%).
- Registered and corporate offices are used under no-objection certificates from RIL and a Reliance group company, not owned.
- Minor statutory delays were disclosed: provident fund remittance delays in Sept to Nov 2025 and at a subsidiary, with ₹7,692 interest and damages.
Section 7Promoter and management
Promoter: Reliance Industries Limited (RIL), holding 66.43% before the issue. Board of 10: Mukesh D. Ambani (Chairman, non-executive), Akash M. Ambani (Managing Director, age 34, five-year term from 9 April 2026), Isha M. Ambani and Anant M. Ambani (directors), Manoj H. Modi, and five independent directors: Raminder Singh Gujral, Dinesh H. Kanabar, Haigreve Khaitan, Shumeet Banerji, Zia Mody. CEO: Pankaj M. Pawar. CFO: Saurabh Sancheti. Joint auditors: Chaturvedi & Shah LLP and Deloitte Haskins & Sells LLP.
- Four of the ten directors are Mukesh D. Ambani, Akash M. Ambani, Isha M. Ambani and Anant M. Ambani; Mukesh and Akash Ambani are also directors of RIL (DRHP p.252). Five of ten are independent.
- Related party dealings with RIL and group companies are disclosed (DRHP Note 36, p.332). Group broadband and cable companies (Den, Hathway, GTPL and others) had about 16.74 million subscribers and may compete with Jio's fixed broadband, per risk factor 29.
- Key managers hold small share stakes (40,000 to 90,000 shares each).
Section 8Ownership and pre-IPO investors
In 2020 the company raised ₹1,52,055 crore from 13 investors, between 7 July and 23 November 2020 (DRHP p.225). Meta and Google came in at ₹488.34 per share, the rest at ₹549.31. At the ₹1,119 issue price those entry prices are about 2.3x and 2.0x (calculated here: 1,119 ÷ entry price). The IPO has no offer for sale, so none of them sold in it.
| Holder (pre-issue) | Pre-issue % | Post-issue % * | Entry price |
|---|---|---|---|
| Reliance Industries (promoter) | 66.43 | ~64.5 | Founder |
| Meta (Jaadhu Holdings) | 9.98 | ~9.7 | ₹488.34 |
| Google International | 7.73 | ~7.5 | ₹488.34 |
| Public Investment Fund (Saudi Arabia) | 2.31 | ~2.2 | ₹549.31 |
| KKR (Omicron Asia) | 2.31 | ~2.2 | ₹549.31 |
| Vista Equity (VEPF VII) | 2.31 | ~2.2 | ₹549.31 |
| Silver Lake | 1.88 | ~1.8 | ₹549.31 |
| Mubadala (MIC Redwood) | 1.85 | ~1.8 | ₹549.31 |
| General Atlantic | 1.34 | ~1.3 | ₹549.31 |
| ADIA (Platinum Jasmine) | 1.16 | ~1.1 | ₹549.31 |
| Others (TPG, L Catterton, Intel, Qualcomm, employee trust, 95 other holders) | 2.7 | ~2.6 | Various |
* Post-issue figures calculated here: 270 million new shares added to 893.9 million existing, assuming full allotment; the final prospectus controls. The new shares are about 2.9% of post-issue capital (calculated here). Upstox reported the stock was not in the Nifty 50 (source 12).
- Lock-in per DRHP rules: promoter's 20% for three years, the rest of promoter's shares for one year, all other pre-IPO holders for six months from allotment. The allotment date was not verified in this review.
- Anchor investor names and amounts: not verified in this review. Reports give conflicting demand figures.
Section 9Litigation and regulatory matters
| Against | Criminal | Tax | Regulatory | Amount (₹ cr) |
|---|---|---|---|---|
| The company | 0 | 8 | 0 | 7 |
| Subsidiaries (mainly RJIL) | 18 | 200 | 26 | 10,811 |
| Directors | 6 | 16 | 0 | 21 |
| Promoter (RIL) | 3 | 745 | 0 * | 40,311 (US$4.13 bn) |
| Key managerial staff | 2 | 0 | 0 | n/a |
DRHP p.42 to 43. * RIL also faces 2 SEBI or exchange disciplinary actions in five years and 4 material civil cases. Counts as disclosed; the amounts include only quantifiable claims.
- SEBI v. RIL (2007 Reliance Petroleum trades). A 2017 SEBI order found fraud and ordered ₹447 crore disgorgement. On 29 May 2026 the Supreme Court held that fraud under the PFUTP Regulations was not made out, set that finding aside, and held RIL violated disclosure rules on position limits, for which a penalty stands (DRHP p.412; Reuters, The Hindu, Supreme Court judgment). The ruling is dated 29 May 2026 and the DRHP is dated 19 June 2026.
- Government of India disputes with RIL over oil and gas contracts. KG-D6 gas migration claim of US$1.55 bn (award for RIL, Supreme Court hearing adjourned to 21 July 2026), the Panna-Mukta and Tapti execution petition (US$3.8 bn demanded, RIL share US$1.15 bn), and a cost-recovery dispute.
- Tax at RJIL. GST input-credit disputes totalling ₹6,767 crore are pending and not provided for as contingent liabilities, on the company's legal view.
- Smaller items. TRAI financial disincentives of about ₹27 crore across 17 orders for unsolicited commercial messages; a Maharashtra pollution board show-cause in FY25, settled; a Kerala matter stayed; tower-location and call-record petitions naming RJIL as a party.
Section 10Promoter family matters
- Historical. After Dhirubhai Ambani died in 2002 without a will, the brothers Mukesh and Anil disputed control. A 2005 settlement split the group, and a gas-supply dispute went to the Supreme Court, which ruled for Mukesh Ambani's RIL on 7 May 2010 (Reuters timeline; Wharton). Anil Ambani's group is a separate set of companies and is not part of this issuer.
- Current. In the pages I read, the DRHP discloses no dispute among current promoter family members. Akash Ambani is Managing Director (term 9 April 2026 to 8 April 2031); Isha and Anant Ambani are directors (DRHP p.252). The full DRHP section on interests of directors was not reviewed.
- Not found. I did not find reports of family disputes affecting this IPO. Absence of reports is not proof there are none.
Section 11Valuation
| Measure | Value | Basis |
|---|---|---|
| Market value at ₹1,119 | ~₹10.3 lakh cr | Price × 920.9 million post-issue shares |
| P/E on FY26 EPS ₹33.63 | ~33.3x | Company-share-count EPS; ipowatch reports 33.28x |
| P/E at ~₹1,417 (listing close) | ~42x | Same EPS |
| Price to book at ₹1,119 | ~2.8x | Net worth ₹3.36 lakh cr plus about ₹30,000 cr raised |
| Market value ÷ FY26 EBITDA | ~13.5x | Excludes net debt and spectrum liabilities |
The DRHP compares Jio to Airtel and Vodafone Idea on operating metrics but its price-based comparison was left blank until the final prospectus. The 2020 investors paid about 44% (₹488.34) and 49% (₹549.31) of the IPO price. Airtel reports higher EBITDA margin (57.5%) and ROCE (19.0%) and higher net debt to EBITDA (1.36x) on its own definitions.
Section 12Risk factors
The DRHP lists 60 risk factors. The ones most tied to price and listing outcomes:
- Revenue growth depends on tariff increases that may meet customer resistance, TRAI intervention or competition.
- Dependence on telecom licences and spectrum, with large spectrum instalments still to pay.
- Borrowings of ₹71,529 crore fund-based and ₹2,021 crore non-fund-based at 31 March 2026 (Mint).
- Overlap with other Reliance group broadband businesses and reliance on RIL for office space and services.
- Satellite broadband, AI model risk, cybersecurity and data privacy rules.
- Non-GAAP measures (net leverage, EBITDA) and a commissioned industry report.
- New shares in the issue are about 2.9% of post-issue capital (calculated here); Upstox reports the stock is not in the Nifty 50.
Section 13News timeline
25-year search note: Jio Platforms is under seven years old. Searches covered the company, RIL and the Ambani family history. Group-level events before 2019 relate to RIL and RJIL, not to the issuer. No search on every director or group company was run.

Questions left open
- What exactly changed between the DRHP and the RHP (price, anchor list, reservation sizes)?
- How much of the FY26 finance cost increase comes from assets moving into service?
- When do spectrum instalments peak against EBITDA?
- How is the six-month pre-IPO lock-in expiry (around late April 2027) scheduled?
